1. Use of the Site
Eligibility
You must be at least 16 years old to use the Site. By using the Site, you represent and warrant that you meet this requirement.
Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable local, national, or international law or regulation.
- Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or similar solicitation.
- Impersonate or attempt to impersonate Digital Future, a Digital Future employee, another user, or any other person or entity.
- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm Digital Future or users of the Site.
- Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site.
2. Intellectual Property
Our Content
The Site and its entire contents, features, and functionality — including but not limited to text, graphics, logos, images, design, software, and the arrangement thereof — are owned by Digital Future, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent, except as follows:
- Your computer may temporarily store copies of such materials incidental to your accessing and viewing them.
- You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
Your Submissions
Any content, feedback, suggestions, or ideas you submit to us through the Site (e.g., via contact forms or email) may be used by us without any obligation of confidentiality, attribution, or compensation to you. You represent that you own or have the right to submit any content you provide.
3. Services
Digital Future provides business incubation, development, and marketing services as described on the Site. The specific scope, deliverables, and terms of any services we provide will be outlined in a separate agreement or statement of work between you and Digital Future.
Nothing on the Site constitutes a binding offer to provide services. All service engagements are subject to mutual agreement on terms, scope, and pricing.
The Studio
The Studio is our members’ area at joindigitalfuture.com/studio. It is free, it requires an account, and it is built and operated by us.
Membership is offered at our discretion. We may decline, suspend, or withdraw access at any time, including where a member’s conduct is disruptive to others. You may delete your account yourself at any time from your profile page; see our Privacy Policy for what deletion removes.
Content you post in The Studio
You own what you write. Comments, Exchange posts and profile information remain yours. By posting them you grant us a non-exclusive licence to store, display and distribute them within The Studio so the product can function — and nothing more. We do not claim ownership, and we will not publish your content outside The Studio, use it in marketing, or quote you publicly without asking you first.
Content other members post belongs to them. Do not reproduce or redistribute it outside The Studio without their permission. What is shared in a members’ area is shared on the understanding that it stays there.
Comments outlive accounts. If you delete your account, comments you have written remain in their threads with your name removed. We do this because deleting them would also delete the replies other members wrote underneath — their words, not yours. If you want a specific comment removed as well, ask us and we will remove it.
Conduct
The Studio works because people are direct with each other about real work. You agree not to:
- Use the member directory or the “send a note” feature to send unsolicited sales pitches, recruitment approaches, or bulk messages.
- Post content that is unlawful, misleading, defamatory, or infringes someone else’s rights.
- Scrape, bulk-download or republish member profiles or content.
- Impersonate anyone, or misrepresent your experience or affiliations.
- Attempt to gain access to areas of the Studio you are not entitled to, or to another member’s account.
We may remove content or withdraw access where these are breached. We rate-limit member-to-member messages to keep the directory useful rather than a channel for bulk outreach.
4. Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by Digital Future. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that Digital Future shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites or services.
5. Disclaimers
The Site and all content, materials, and services provided on or through the Site are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied.
To the fullest extent permitted by law, Digital Future disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Digital Future does not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
6. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Digital Future, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Site;
- Any conduct or content of any third party on the Site;
- Any content obtained from the Site; or
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall our total liability to you for all claims relating to the Site exceed the amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the liability.
7. Indemnification
You agree to defend, indemnify, and hold harmless Digital Future, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction.
9. Termination
We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect (such as posting a notice on the Site or updating the “Last Updated” date).
Your continued use of the Site after any changes to these Terms constitutes acceptance of those changes.
11. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digital Future regarding the use of the Site and supersede any prior agreements between you and Digital Future relating to the Site.
